The specific services provided to you will be as described at the time of purchase, in your service agreement, or on the applicable order form. Services may be updated, modified, or expanded from time to time at our discretion.

Services are provided on a subscription or project basis and may include, without limitation, any combination of digital marketing, content, advertising, and online visibility solutions.

3 Eligibility

You must be at least 18 years of age to use our services. By using our services, you represent and warrant that you are at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or the business entity you represent.

4 Account Registration

To access certain services, you may be required to create an account. You agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Keep your password confidential and not share account access with unauthorized parties
  • Notify us immediately of any unauthorized use of your account

You are responsible for all activity that occurs under your account. easybrand is not liable for any loss resulting from unauthorized account use.

5 Payment Terms

By subscribing to or purchasing our services, you agree to the following payment terms:

  • All fees are stated in U.S. dollars and are due as specified in your service agreement or at checkout
  • Subscription fees are billed monthly in advance unless otherwise stated
  • Payments are processed via secure third-party payment processors
  • All sales are final unless otherwise specified in our refund policy
  • You authorize us to charge your payment method on a recurring basis for subscription services
  • If a payment fails, we reserve the right to suspend or terminate your services until payment is resolved

We reserve the right to change our pricing at any time with reasonable advance notice.

6 Refund Policy

Due to the nature of digital marketing services, all payments are generally non-refundable. However:

  • If you cancel a subscription before the next billing cycle, no further charges will be made
  • Refunds may be considered on a case-by-case basis at our sole discretion
  • Setup fees and one-time project fees are non-refundable once work has commenced

7 Cancellation Policy

You may cancel your subscription at any time by contacting us at [email protected] or through your account portal. Cancellations take effect at the end of the current billing period. You will retain access to your subscribed services through the end of the paid period.

easybrand reserves the right to cancel or suspend any account for violation of these Terms.

8 Client Responsibilities

To enable easybrand to deliver services effectively, you agree to:

  • Provide timely access to accounts, platforms, and materials reasonably required to perform the services
  • Ensure all content, trademarks, and materials you provide do not infringe any third-party rights
  • Review and approve deliverables within agreed timelines
  • Maintain ownership of your business accounts (e.g., Google Business Profile, social media)
  • Notify us of any changes to your business that may affect the services

9 Intellectual Property

A. easybrand Content

All content, branding, software, tools, methodologies, and materials created or owned by easybrand remain the exclusive property of easybrand. You may not copy, reproduce, distribute, or create derivative works from our proprietary materials without our express written consent.

B. Client Content

You retain ownership of all content, data, and materials you provide to us. By providing such materials, you grant easybrand a non-exclusive, royalty-free license to use, reproduce, and modify your content solely for the purpose of delivering the agreed services.

C. Work Product

Upon full payment, easybrand assigns to you ownership of the deliverables specifically created for you under your service agreement, excluding any underlying tools, templates, or proprietary methodologies used in their creation.

10 Confidentiality

Each party agrees to keep confidential any non-public, proprietary, or sensitive information disclosed by the other party in connection with the services. This obligation does not apply to information that is publicly known, independently developed, or required to be disclosed by law.

11 Prohibited Uses

You agree not to use our services to:

  • Violate any applicable federal, state, or local laws or regulations
  • Infringe upon the intellectual property rights of any third party
  • Transmit spam, malware, or any harmful or deceptive content
  • Engage in fraudulent, misleading, or deceptive marketing practices
  • Attempt to gain unauthorized access to our systems or other accounts
  • Resell or sublicense our services without express written permission
  • Use our services for any unlawful or unethical purpose

12 Third-Party Services and Platforms

Our services may involve working with third-party platforms such as Google, Meta, Yelp, and others. easybrand is not affiliated with or endorsed by these platforms and is not responsible for changes to their policies, algorithms, or terms of service that may affect the results of our services.

Results from SEO, GEO, or advertising campaigns are not guaranteed, as they depend on third-party platform factors outside our control.

13 No Guarantee of Results

easybrand provides professional marketing services based on industry best practices. However, we do not guarantee specific results, rankings, traffic levels, leads, or revenue outcomes. Digital marketing results depend on many factors outside our control, including search engine algorithms, market competition, and platform changes. Any projections or estimates provided are illustrative only and not contractual commitments.

14 Disclaimer of Warranties

OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT OUR SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

15 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EASYBRAND AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF OUR SERVICES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT SHALL EASYBRAND'S TOTAL CUMULATIVE LIABILITY TO YOU EXCEED THE TOTAL FEES PAID BY YOU TO EASYBRAND IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

16 Indemnification

You agree to indemnify, defend, and hold harmless easybrand and its officers, directors, employees, agents, and successors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of our services, your violation of these Terms, or your violation of any third-party rights.

17 Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Nevada, without regard to its conflict of law principles.

Any dispute arising from or relating to these Terms or our services shall first be submitted to good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Clark County, Nevada, under the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

YOU WAIVE ANY RIGHT TO A JURY TRIAL OR TO PARTICIPATE IN A CLASS ACTION LAWSUIT WITH RESPECT TO ANY DISPUTE ARISING FROM THESE TERMS.

18 Force Majeure

easybrand shall not be liable for any delay or failure to perform obligations under these Terms resulting from causes beyond our reasonable control, including acts of God, natural disasters, pandemics, government actions, internet outages, or third-party platform failures.

19 Termination

Either party may terminate these Terms and any related service agreement upon written notice. easybrand may immediately suspend or terminate your access to services if you violate these Terms, fail to make payment, or engage in conduct harmful to easybrand or third parties.

Upon termination, all licenses granted to you will cease. Provisions that by their nature should survive termination — including intellectual property, indemnification, limitation of liability, and governing law — shall survive.

20 Entire Agreement

These Terms, together with any applicable service agreements, order forms, and our Privacy Policy, constitute the entire agreement between you and easybrand with respect to the subject matter herein and supersede all prior agreements, representations, and understandings.

21 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that the remaining Terms shall remain in full force and effect.
